“Microsoft Faces Lawsuit Over Alleged Misleading Information”

Date:

Microsoft is facing a lawsuit from shareholders who claim the company provided false information regarding the slowing growth of its Azure cloud computing division and the extent of its artificial intelligence infrastructure expenditures. This allegedly led to an artificial inflation of its stock price, as reported by Reuters.

The lawsuit, initiated by the City of St. Clair Shores Police and Fire Retirement System in Michigan, was filed in a federal court in Seattle. The legal action stems from a significant drop in Microsoft’s stock value on January 29, resulting in a 10% decline after the release of its quarterly earnings report. This caused a market value loss of around $357 billion, marking the largest one-day decrease in almost six years.

The lawsuit pertains to the period between May 1, 2025, and January 28, 2026, and lists several senior Microsoft executives as defendants, including CEO Satya Nadella and CFO Amy Hood.

Allegedly, Microsoft attributed the deceleration in Azure growth and increased spending to capacity constraints as it directed resources towards AI research and development, notably its Copilot chatbot, which competes with similar products from Google and OpenAI, a company in which Microsoft holds a significant stake.

Microsoft responded to the allegations by stating that it considers the claims to be baseless and asserts that it upholds the accuracy of its public disclosures, vowing to vigorously defend itself in court.

While it is not uncommon for shareholders to file securities fraud lawsuits following unexpected stock price declines, only a limited number of cases progress to trial, according to the report.
